01 Acceptance of Terms
These Terms of Service (the "Terms") form a binding agreement between you ("you," "your," or "User") and Succession Pathway ("Succession Pathway," "we," "us," or "our") governing your access to and use of the website at successionpathway.com (the "Website") and any related communications, content, materials, or services made available through it.
By accessing the Website, submitting a form, requesting information, subscribing to communications, or otherwise interacting with us, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please discontinue use of the Website.
02 Eligibility
You must be at least eighteen (18) years of age and legally able to enter into a binding agreement to use the Website. By using the Website, you represent and warrant that you meet these requirements. The Website is intended for use by owners and authorized representatives of accounting, tax, advisory, and related professional services practices located in the United States. Use of the Website from jurisdictions where its contents are unlawful is prohibited.
03 Use of the Website
You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You agree not to:
- Attempt to gain unauthorized access to the Website, its servers, databases, or any related systems;
- Use any automated means (bots, scrapers, crawlers) to access, copy, or extract content from the Website without our prior written consent;
- Submit false, misleading, or fraudulent information through any form or communication channel;
- Interfere with the operation of the Website or impose unreasonable load on its infrastructure;
- Use the Website to transmit unlawful, infringing, defamatory, harassing, or harmful content;
- Reproduce, redistribute, or commercially exploit Website content except as expressly permitted by these Terms; or
- Use the Website to solicit business from our clients, prospective clients, or buyer network without our written consent.
04 Inquiry & Form Submissions
When you submit information through a form on the Website — including the contact form, any inquiry, request for valuation, or subscription request — you represent that the information you provide is accurate, complete, and that you are authorized to submit it. You acknowledge that:
- Submitting a form does not by itself establish a broker-client relationship or any engagement between you and Succession Pathway (see Section 6).
- Information you submit may be reviewed by personnel and contractors of Succession Pathway and stored on systems operated by our service providers, in accordance with our Privacy Policy.
- You consent to receive responses by email, telephone, and (where you have separately opted in) text message regarding your inquiry.
- You should not submit through the Website any information that you consider highly sensitive or that requires a higher level of protection than the reasonable security practices described in our Privacy Policy.
05 No Professional Advice
The Website and all content available through it — including articles, guides, the "Top 10" lists, the succession framework, FAQ responses, and all general commentary — are provided for informational and educational purposes only. They do not constitute, and are not intended to be a substitute for, legal advice, tax advice, accounting advice, financial planning advice, investment advice, or any other form of professional advice.
Your specific situation may differ in ways that materially affect the appropriate course of action. You should consult with qualified legal, tax, financial, and other professional advisors before acting on any information available through the Website. Succession Pathway expressly disclaims any liability arising from reliance on Website content in the absence of a written engagement agreement.
06 No Agency, Brokerage, or Engagement Without Written Agreement
Use of the Website, including submission of forms, requests for information, or preliminary conversations, does not create a broker-client, fiduciary, agency, employment, partnership, joint venture, or other legal relationship between you and Succession Pathway. No such relationship exists, and no obligations of Succession Pathway are triggered, unless and until you and Succession Pathway execute a written engagement agreement setting forth the scope of services, compensation, and other material terms.
Preliminary discussions, valuation estimates, market commentary, and introductions provided before a written engagement is signed are exploratory in nature, are not binding on either party, and may be modified or withdrawn by Succession Pathway at any time.
07 Consent to Communications
By providing your contact information through the Website, you consent to receive communications from Succession Pathway by email and, where you have provided a phone number, by telephone or voicemail, in connection with your inquiry or any subsequent engagement. Where you have separately opted in, you also consent to receive SMS / text message communications. Standard messaging rates may apply.
If you have opted in to marketing communications, you also consent to receive newsletters, educational content, market updates, and other promotional materials. You may withdraw consent to marketing communications at any time by unsubscribing or by contacting info@successionpathway.com, as further described in our Privacy Policy.
08 Intellectual Property
The Website and all of its content — including text, graphics, logos, marks, designs, framework names, methodology descriptions, photographs, and software — are owned by or licensed to Succession Pathway and are protected by United States and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Website for your personal, non-commercial purposes and to evaluate our services. You may not copy, modify, distribute, sell, publicly display, create derivative works of, or commercially exploit any Website content without our prior written permission. The Succession Pathway name, logo, and related marks are trademarks of Succession Pathway. Other names and marks referenced on the Website are the property of their respective owners.
09 Third-Party Links
The Website may contain links to third-party websites, resources, or services. These links are provided for convenience only. Succession Pathway does not control, endorse, or assume responsibility for the content, accuracy, or practices of any third-party site. Your use of any linked site is at your own risk and subject to the terms and policies of that site.
10 Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.
SUCCESSION PATHWAY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. ANY VALUATION RANGES, MARKET STATISTICS, OR ILLUSTRATIVE FIGURES PROVIDED ON THE WEBSITE ARE GENERAL INFORMATION ONLY AND ARE NOT GUARANTEES OF OUTCOME IN ANY SPECIFIC TRANSACTION.
11 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUCCESSION PATHWAY OR ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR DIMINUTION IN VALUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR RELIANCE ON ANY CONTENT MADE AVAILABLE THROUGH IT.
TO THE EXTENT ANY LIABILITY ATTACHES NOTWITHSTANDING THE FOREGOING, THE AGGREGATE LIABILITY OF SUCCESSION PATHWAY ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY WHERE LIMITATION IS PROHIBITED BY APPLICABLE LAW.
12 Indemnification
You agree to indemnify, defend, and hold harmless Succession Pathway and its officers, members, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Website; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any information you submit to us that is inaccurate, misleading, or that you were not authorized to submit.
13 Termination
We may suspend or terminate your access to the Website at any time, with or without notice, for any reason — including, without limitation, violation of these Terms. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 5, 6, 8, 10, 11, 12, and 14) will remain in effect.
14 Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State in which Succession Pathway maintains its principal place of business, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website will be resolved exclusively in the state or federal courts of competent jurisdiction located in that State, and you consent to the personal jurisdiction of such courts.
You and Succession Pathway each waive any right to a jury trial in any action arising out of these Terms. To the extent permitted by law, any claim must be brought within one (1) year after the cause of action arose, or be permanently barred.
15 Changes & Severability
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice through the Website or by email. Your continued use of the Website after the effective date of any changes constitutes acceptance of the updated Terms.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy and any written engagement agreement, constitute the entire agreement between you and Succession Pathway with respect to your use of the Website.
